Terms of Service

1. Acceptance of Terms

By creating an account or using ClippingTool, you agree to these Terms of Service. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

2. Service Description

ClippingTool provides live-streaming management, recording, video clipping, and multi-destination publishing services (the "Service"). The Service is provided as-is subject to the SLAs published in your plan documentation.

3. User Responsibilities

  • You are responsible for all content uploaded or streamed through your account.
  • You must not upload content that infringes third-party intellectual property rights.
  • You must not use the Service for illegal, defamatory, or harmful purposes.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must notify us immediately of any unauthorised access to your account.

4. Acceptable Use

The following are prohibited:

  • Attempting to gain unauthorised access to other tenants' data
  • Using automated tools to scrape or bulk-download content
  • Sharing account credentials with persons not authorised within your organisation
  • Using the Service to distribute malware, spam, or phishing content
  • Reverse-engineering, decompiling, or disassembling the Service

5. Intellectual Property

You retain ownership of all content you upload or create using the Service. You grant ClippingTool a limited, non-exclusive licence to process, store, and transmit your content solely as necessary to provide the Service. ClippingTool retains all rights in the platform software, design, and branding.

6. Data Protection

ClippingTool processes personal data as a Data Fiduciary under the Digital Personal Data Protection Act, 2023 (DPDP Act, India).

  • Lawful basis: Personal data is processed on the basis of consent, contract performance, and legal obligation as detailed in our Privacy Policy.
  • Your rights: You have rights to access, correction, erasure, portability, and grievance redressal under DPDP Act §12–§16. Exercise these via the Data Rights page.
  • Data security: We implement commercially reasonable technical and organisational measures to protect your data. See our Security section.
  • Breach notification: In the event of a personal data breach, we will notify the Data Protection Board and affected data principals within 72 hours as required by the DPDP Act.
  • Grievance Officer: grievance@clippingtool.com — responds within 72 hours.

7. Limitation of Liability

To the maximum extent permitted by law, ClippingTool shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the fees paid by you in the 12 months preceding the event giving rise to the claim.

8. Termination

You may close your account at any time. We may suspend or terminate your access for material breach of these terms with 7 days written notice, or immediately for severe violations (e.g. illegal content, security attacks). Upon termination, you may request export of your data within 30 days per §13 of the DPDP Act.

9. Governing Law

These terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.
